We make every effort to display product dimensions, utilities prerequisites (e.g., specific voltage and plumbing requirements), and engineering specifications accurately. However, hardware configurations, factory modifications, and external finishes may vary slightly based on raw manufacturer catalog updates.
We do not warrant that the visual depiction on your screen perfectly renders industrial component shades. All hardware descriptions, pricing structures, and catalog item availabilities are subject to change at any time without notice at our sole discretion. We reserve the right to limit product supply arrays or restrict equipment quotes to specific Canadian geographic territories or certified installation regions on a case-by-case basis.

Orders, B2B Procurement, and Resale
When you submit a transaction path or complete a formal quote checkout on novabev.ca, you are making an official offer to procure commercial equipment. Nova Beverage Systems Inc. reserves the right to accept, modify, or decline your procurement request for any reason at our sole discretion. Your order is not legally accepted until our fulfillment wing issues an itemized sales invoice and processing receipt.
Unlike generic consumer retail marketplaces, our products are engineered, categorized, and distributed strictly for commercial facility installations, hospitality operations, food-service deployment, or authorized corporate contractors. By executing an order, you represent and warrant that your purchases are intended for professional operational deployment or commercial project builds. All cancellations or return paths are strictly bound by the line-item penalties, restocking fees, and freight requirements listed within our Return & Restocking Policy.

Prices, Manufacturer MAP Policies, and Billing
Prices, volume discounts, and freight promotions are subject to immediate adjustments based on domestic factory margins and LTL carrier market indices. The asset price locked for a quote will be explicitly laid out in your formal PDF quote or digital invoice sheet. Unless specified in writing, posted catalog prices do not include provincial taxes, federal GST, localized customs clearance, or accessorial heavy-freight handling surcharges (such as liftgate requirements).
Nova Beverage Systems Inc. strictly adheres to and enforces all manufacturer Minimum Advertised Price (MAP) protocols. We will not discount advertised pricing structures below factory-authorized limits. You agree to provide pristine, accurate financial and card variables for all asset purchases. You warrant that you are fully authorized to utilize the corporate credit card, fintech line, or bank wire parameters supplied, and agree to absorb all incurred processing liabilities.

Logistics, LTL Freight, and Title Devolution
All high-ticket heavy equipment is dispatched and routed via premium third-party Less-Than-Truckload (LTL) commercial freight carriers. While we provide tracking numbers and logistics targets, all delivery timeframes are estimates and cannot be explicitly guaranteed due to weather conditions or carrier delays.
Once our manufacturing partner transfers the crated asset to the LTL carrier at the factory loading dock, legal title to the merchandise and risk of loss passes entirely to the buyer. Financial protection against transit damages is heavily dependent on the buyer executing rigorous inspection steps before signing the carrier's Proof of Delivery (POD) slip, as outlined in our Shipping Policy.

Intellectual Property Rights

Nova Beverage Systems Inc. reserves the absolute right to correct any errors, adjust ledger values, modify quotes, or cancel affected orders at any time without prior liability (including after a formal order submission has occurred), aligning with professional accounting precision.

Enforcement Against Prohibited Uses

We disclaim all implied warranties of merchantability, durability, fitness for a specific culinary or industrial task, title, and non-infringement. We do not guarantee that your logistics pathways will remain uninterrupted or completely error-free.

Corporate Limitation of Liability
To the fullest extent permitted by law, in no event shall Nova Beverage Systems Inc., our directors, officers, employees, shareholders, or logistics representatives be liable for any business interruption losses, revenue reductions, lost profits, operational downtime, delayed construction timelines, component failure damages, or indirect, special, or consequential liabilities arising from the purchase, routing, installation, or use of any industrial hardware accessed via our Services.

Indemnification Obligations
You agree to indemnify, defend, and hold harmless Nova Beverage Systems Inc. and our underlying technology networks from any third-party claims, legal demands, operational fines, or recovery expenses (including reasonable legal fees) resulting from your establishment's breach of these corporate terms, misrepresentation of facility delivery configurations, or violation of provincial or federal commercial regulations.

Severability & Waiver
If any provision of these Terms of Service is determined by an Alberta court of competent jurisdiction to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law. The unenforceable element shall be deemed severed from these Terms without affecting the validity and enforceability of the remaining provisions.

Governing Law & Jurisdiction
These Terms of Service, along with any specialized procurement agreements whereby we provide your establishment with commercial machinery, shall be governed by, construed, and enforced strictly in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any legal actions, contractual disputes, or platform mediation must be initiated exclusively within the provincial courts sitting in the City of Calgary, Alberta, Canada.
