Section 1

Access and Account Compliance

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your province, state, or territory of residence, and possess the full legal authority to bind your organization, business, or establishment to these corporate terms.

To execute commercial transactions, register a profile, or submit formal requests for quotes, you are required to provide accurate corporate metrics, including verified business email addresses, legal company titles, localized facility parameters, and valid payment processing authorizations. You represent and warrant that all data submitted to our procurement desk is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your credentials and optimizing your workspace security. We reserve the right to suspend or terminate access if any fraudulent or inaccurate parameters are identified.

Section 3

Orders, B2B Procurement, and Resale

When you submit a transaction path or complete a formal quote checkout on novabev.ca, you are making an official offer to procure commercial equipment. Nova Beverage Systems Inc. reserves the right to accept, modify, or decline your procurement request for any reason at our sole discretion. Your order is not legally accepted until our fulfillment wing issues an itemized sales invoice and processing receipt.

Unlike generic consumer retail marketplaces, our products are engineered, categorized, and distributed strictly for commercial facility installations, hospitality operations, food-service deployment, or authorized corporate contractors. By executing an order, you represent and warrant that your purchases are intended for professional operational deployment or commercial project builds. All cancellations or return paths are strictly bound by the line-item penalties, restocking fees, and freight requirements listed within our Return & Restocking Policy.

Section 5

Logistics, LTL Freight, and Title Devolution

All high-ticket heavy equipment is dispatched and routed via premium third-party Less-Than-Truckload (LTL) commercial freight carriers. While we provide tracking numbers and logistics targets, all delivery timeframes are estimates and cannot be explicitly guaranteed due to weather conditions or carrier delays.

Once our manufacturing partner transfers the crated asset to the LTL carrier at the factory loading dock, legal title to the merchandise and risk of loss passes entirely to the buyer. Financial protection against transit damages is heavily dependent on the buyer executing rigorous inspection steps before signing the carrier's Proof of Delivery (POD) slip, as outlined in our Shipping Policy.

Section 7

Third-Party Tools & Procurement Resources

We may provide your project managers with access to optional specialized third-party tools, such as freight calculation plugins, utility configuration modules, or financing estimation software. We provide access to these integrations "as is" and "as available" without any explicit endorsements, representations, or liability fields. Any use of optional tools remains at your own independent operational risk.

Section 9

System Layers and Hosting Nodes

Our corporate store utilizes a decoupled front-end layout mapped securely back to an enterprise Shopify commerce engine. By utilizing these systems, you acknowledge that Shopify acts strictly as a data processor for our operational nodes. Any transaction, contract obligation, or liability exchange occurs solely and directly between your enterprise and Nova Beverage Systems Inc.

Section 11

Submissions and Project Feedback

If you submit equipment feedback, product reviews, facility data configurations, or specifications logs to our platform, you grant Nova Beverage Systems Inc. a non-exclusive, royalty-free, perpetual license to utilize and feature those parameters to enhance our distribution systems. You warrant that you possess all intellectual permissions for any project assets uploaded to our portal.

Section 13

Enforcement Against Prohibited Uses

You are strictly prohibited from utilizing our distribution platform, product pages, or code infrastructure:

• For any unlawful or malicious objective that violates municipal, provincial, federal, or international statutes.
• To breach or circumvent robot exclusion headers, or deployment protocols.
• To harvest corporate metadata, inject malicious code structures, scrape pricing fields via automated bots, or compromise our primary security firewalls.
• To submit fraudulent credit, debit, or invoice processing parameters.

We reserve the immediate right to suspend corporate profiles, deactivate active routing pipelines, and terminate accounts without notice for any violation of these compliance boundaries.

Section 15

Statutory Warranty Disclaimers

Except as explicitly provided by Nova Beverage Systems Inc. or directly extended by our domestic manufacturing partner networks, all equipment, machinery, assets, and services provided through our domain are secured 'as is' and 'as available' for professional operation.

We disclaim all implied warranties of merchantability, durability, fitness for a specific culinary or industrial task, title, and non-infringement. We do not guarantee that your logistics pathways will remain uninterrupted or completely error-free.

Section 17

Indemnification Obligations

You agree to indemnify, defend, and hold harmless Nova Beverage Systems Inc. and our underlying technology networks from any third-party claims, legal demands, operational fines, or recovery expenses (including reasonable legal fees) resulting from your establishment's breach of these corporate terms, misrepresentation of facility delivery configurations, or violation of provincial or federal commercial regulations.

Section 19

Governing Law & Jurisdiction

These Terms of Service, along with any specialized procurement agreements whereby we provide your establishment with commercial machinery, shall be governed by, construed, and enforced strictly in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any legal actions, contractual disputes, or platform mediation must be initiated exclusively within the provincial courts sitting in the City of Calgary, Alberta, Canada.
